1. Acceptance of Terms

By accessing or using the Ichor platform ("Service"), including its SMS messaging features, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Ichor platform, including contractors, service providers, and their authorized employees and agents.

2. Description of Service

Ichor is a project management platform designed for construction contractors and service providers. The platform includes, but is not limited to:

  • Project and deal management
  • Estimating and billing
  • Work order scheduling and tracking
  • Two-way SMS and MMS messaging with customers
  • Reporting and analytics

3. SMS Messaging Terms

3.1 SMS Service Description

The Ichor platform includes an SMS messaging feature that allows users to send and receive text messages (SMS) and multimedia messages (MMS) with their customers for business communication purposes, including project updates, scheduling confirmations, reminders, and general conversational messaging.

3.2 Message Frequency

Message frequency varies based on project activity and your communication needs. There is no fixed number of messages per month — it depends on your usage of the messaging features.

3.3 Message and Data Rates

Message and data rates may apply. Standard messaging and data charges from your mobile carrier may apply to messages you send or receive. Ichor is not responsible for any charges imposed by your mobile carrier.

3.4 Consent and Opt-In

By using the SMS features of the Ichor platform to message your customers, you represent and warrant that:

  • You have obtained proper consent from each recipient before sending them text messages.
  • Recipients have voluntarily provided their phone number in connection with your business services (e.g., during the estimate, contract, or service engagement process).
  • You will honor all opt-out requests promptly and completely.

3.5 Opt-Out

Recipients of SMS messages sent through the Ichor platform may opt out of receiving messages at any time by:

  • Replying STOP to any message to unsubscribe from all future messages.
  • Replying HELP to receive assistance and support contact information.

Once a recipient opts out, no further messages will be sent to that phone number through the Ichor platform.

3.6 Supported Carriers

SMS messaging is available on all major U.S. mobile carriers, including but not limited to AT&T, T-Mobile, Verizon, and US Cellular. Delivery and performance may vary by carrier and network conditions.

3.7 SMS Content Restrictions

You agree not to use the Ichor SMS features to send:

  • Unsolicited commercial messages (spam)
  • Messages to recipients who have not consented to receive them
  • Content that is illegal, harassing, threatening, or defamatory
  • Content related to illegal substances, gambling, or age-restricted products
  • Phishing, fraud, or deceptive messages
  • Messages that violate any applicable law or regulation

3.8 Compliance

You are responsible for ensuring that your use of the SMS features complies with all applicable federal, state, and local laws, including:

  • The Telephone Consumer Protection Act (TCPA)
  • The CAN-SPAM Act
  • FCC regulations
  • CTIA Messaging Principles and Best Practices
  • All applicable carrier guidelines

4. User Accounts

4.1 Registration

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

You are responsible for all activity that occurs under your account. You must notify Ichor immediately of any unauthorized use of your account or any other breach of security.

4.3 Account Termination

Ichor reserves the right to suspend or terminate your account at any time for violation of these Terms, including misuse of the SMS messaging features.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable laws or regulations
  • Send messages to individuals who have not consented to receive them
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service to transmit malware, viruses, or malicious code
  • Reverse engineer, decompile, or disassemble any part of the Service

6. Fees and Payment

6.1 Subscription Fees

Access to the Ichor platform is subject to the subscription fees described in your service agreement. Fees are billed in advance on a monthly or annual basis.

6.2 SMS Usage Fees

SMS messaging usage is metered and billed based on your subscription tier:

  • Each tier includes a monthly message allowance (bundle).
  • Messages exceeding the included bundle are charged at the applicable overage rate.
  • Phone number rental fees and regulatory fees (A2P campaign fees) are included in your monthly invoice.
  • All fees are described in your service agreement and billing dashboard.

6.3 Payment

Payment is due according to the terms of your service agreement. Ichor reserves the right to suspend SMS messaging features for accounts with past-due balances.

7. Intellectual Property

The Ichor platform, including its software, design, trademarks, and content, is owned by Ichor Technologies and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your business purposes.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

9. Disclaimers

9.1 Service Availability

The Service is provided on an "as is" and "as available" basis. Ichor does not guarantee that the Service will be uninterrupted, error-free, or secure at all times.

9.2 SMS Delivery

Ichor does not guarantee delivery of SMS messages. Message delivery depends on recipient carrier networks, device compatibility, and other factors outside of our control. Ichor is not responsible for messages that are delayed, undelivered, or filtered by carriers.

9.3 No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICHOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICHOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

ICHOR'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO ICHOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Ichor Technologies, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your SMS messaging practices, including failure to obtain proper consent from recipients
  • Any claim by a third party related to messages you sent through the Service

12. Modifications to Terms

Ichor reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Dallas County, Texas.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and any service agreement you have entered into with Ichor, constitute the entire agreement between you and Ichor Technologies regarding your use of the Service.
